Fortifiers - Scale Without Adding Overhead

This End User License Agreement ("Agreement") is a binding legal agreement between you ("User" or "you") and Fortifiers Inc. ("Company," "we," "us," or "our"), a corporation governed by the laws of Prince Edward Island, Canada. By accessing, downloading, or using the Fortifiers platform, software, and services (collectively, the "Service"), you agree to be bound by the terms of this Agreement.

IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT INSTALL, ACCESS, OR USE THE SERVICE.

1. Grant of License

Subject to your compliance with this Agreement and payment of any applicable subscription fees, Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes.

2. Restrictions on Use

You agree not to, and will not permit others to:

copy, modify, decompile, reverse engineer, disassemble, or attempt to derive the source code of the Service;
sell, rent, lease, sublicense, distribute, or otherwise transfer access to the Service to any third party;
use the Service to develop a competing product or service;
use the Service for any unlawful purpose or in violation of any applicable local, provincial, federal, or international law;
remove or alter any proprietary notices or labels on the Service.

3. Intellectual Property Rights

Ownership: The Service, including its structure, organization, source code, and all related intellectual property rights, is the exclusive property of Fortifiers Inc. and its licensors. Nothing in this Agreement grants you any rights to the Service other than the limited license explicitly stated in Section 1.

Feedback: If you provide any suggestions, feedback, or improvements regarding the Service ("Feedback"), you grant Company a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service.

4. User Data and Privacy

User Data: You retain all rights and ownership of the data, files, and documents you upload or process through the Service ("User Data"). You grant Company a license to host, copy, transmit, and display User Data as necessary to provide the Service to you.

Data Usage: We may collect and use aggregated, anonymized data derived from your use of the Service for analytics, improvement of our AI models, and other business purposes, provided that such use ceases to identify you or your specific documents.

Privacy: Our collection and use of personal information are governed by our Privacy Policy, which is incorporated by reference into this Agreement.

5. Term and Termination

This Agreement is effective until terminated. You may terminate this Agreement at any time by ceasing all use of the Service and deleting your account. Company may terminate this Agreement immediately without notice if you breach any term of this Agreement. Upon termination, strictly all rights granted to you under this Agreement will cease.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL FORTIFIERS INC. BE LIABLE FOR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICE, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE). IN NO EVENT SHALL THe COMPANY'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Governing Law and Dispute Resolution

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the Province of Prince Edward Island and the federal laws of Canada applicable therein, without regard to its conflict of law principles.

Dispute Resolution: Any dispute arising out of or related to this Agreement shall be subject to the exclusive jurisdiction of the courts located in Charlottetown, Prince Edward Island, Canada.

9. General Provisions

Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement: This Agreement constitutes the entire agreement between you and Company regarding the Service and supersedes all prior agreements or understandings.

Amendments: We reserve the right to modify this Agreement at any time. Continued use of the Service following any changes indicates your acceptance of the new terms.
